Terms of Service

1. Acceptance of Terms

By accessing or using the RentFlow platform ("Service"), operated by Vector Automation Systems Ltd ("VAS", "we", "us", or "our"), registered in Kenya, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

RentFlow is a multi-tenant, cloud-based rental management platform that enables businesses to manage the rental of any type of asset — including but not limited to vehicles, machinery, electronics, event equipment, tools, and real estate. The Service includes asset tracking, customer management, rental agreements, payment recording, invoicing, maintenance tracking, reporting, and bulk data import/export.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding legal agreement. By creating an account, you represent that all information you provide is accurate and complete. Businesses using the Service must be lawfully registered and operating in their jurisdiction.

4. Account Registration & Security

• •You are responsible for maintaining the confidentiality of your account credentials.
• •You must notify us immediately of any unauthorized access at info@vasmetering.com.
• •VAS is not liable for losses arising from unauthorized use of your account.
• •The first user to register on the platform becomes the Platform Super Admin. The first user to create a company (tenant) becomes that company's owner and admin.

5. Multi-Tenancy & Data Isolation

Each company ("tenant") operates in a fully isolated environment. Tenant data — including assets, customers, rentals, payments, invoices, and maintenance records — is only accessible to authorized members of that tenant. Platform administrators may access tenant data for support and compliance purposes.

6. Subscription & Payments

• •RentFlow offers subscription plans including a free trial, monthly, and annual options. Pricing is displayed on the platform and is subject to change with reasonable notice.
• •Payments are accepted via M-Pesa (Paybill 542542) and bank transfer (I&M Bank).
• •Subscriptions that are not renewed by the end date will result in account deactivation. Your data will be retained for a minimum of 90 days after expiry.
• •Refunds are handled on a case-by-case basis. Contact info@vasmetering.com.

7. User Roles & Permissions

Within each tenant, the following roles exist:

Tenant admins are responsible for managing their team members and ensuring appropriate access levels.

8. Acceptable Use

You agree not to:

• •Use the Service for any unlawful purpose or to facilitate illegal activities.
• •Upload malicious code, viruses, or harmful content.
• •Attempt to gain unauthorized access to other tenants' data.
• •Reverse-engineer, decompile, or disassemble any part of the Service.
• •Use automated systems (bots, scrapers) to access the Service without authorization.
• •Violate any applicable laws, including data protection and anti-money laundering regulations.

9. Intellectual Property

The RentFlow platform, including its source code, design, logos, and documentation, is the intellectual property of Vector Automation Systems Ltd. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

10. Data Ownership

You retain ownership of all data you upload to the Service. VAS does not claim ownership of your tenant data. You grant VAS a limited license to process, store, and display your data solely for the purpose of providing the Service.

11. Service Availability & Disclaimer

The Service is provided "as is" and "as available". VAS does not guarantee uninterrupted, error-free, or secure operation. We will make commercially reasonable efforts to maintain uptime but are not liable for outages, data loss, or service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, VAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

13. Indemnification

You agree to indemnify and hold harmless VAS, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

14. Termination

• •You may terminate your account at any time by contacting us.
• •VAS may suspend or terminate your access for violation of these Terms, non-payment, or at our discretion with reasonable notice.
• •Upon termination, your data will be retained for 90 days, after which it may be permanently deleted.

15. Modifications

VAS reserves the right to modify these Terms at any time. Material changes will be communicated via the platform or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya.
